# Terms of Service

Who may use Ilmiya, how accounts and content work, and the terms for individual users.

<a id="introduction"></a>

## Introduction

These Terms of Service govern access to the website, applications, education technology platform, and curriculum and learning materials supplied by Ilmiya, Inc. (“Ilmiya,” “we,” or “us”). The products and features available to an authorized user depend on the Customer’s agreement and account permissions. Questions concerning these Terms may be submitted through the [legal inquiry form](https://ilmiya.com/legal-inquiry/).

<a id="1-your-relationship-with-ilmiya"></a>

Acceptance of these Terms requires legal capacity to enter a binding agreement. A representative accepting on behalf of an organization must have authority to bind it. Customer accounts are held by institutions or independent educators conducting an educational business under an accepted Order. These Terms do not establish a separate consumer subscription or an unmanaged child account. Access to a public webpage does not create a paid subscription or international data-transfer agreement.

When you use an account provided by a school, university or other customer, that customer’s agreement with Ilmiya governs the platform service. The institution or educator delivers your educational offering and may present it entirely under its own brand. The institution’s commitments about course delivery and educational results remain its responsibility. Ilmiya supplies the underlying platform and infrastructure, along with curriculum and learning materials included in the institution’s selected Services. The applicable licenses and Ilmiya’s express commitments for those materials remain in force. These terms explain the rules for your permitted use. They do not make a student responsible for the institution’s platform fees or authorize a user to amend its contract.

<a id="2-which-documents-control"></a>

<a id="which-documents-control"></a>

## Which Documents Control

The [Master Service Agreement](https://ilmiya.com/master-service-agreement/), accepted Order and any signed customer-specific terms control a subscription held by an institution or independent educator. The [Data Protection Addendum](https://ilmiya.com/data-protection-addendum/) controls personal data we process for the customer. These terms do not reduce those protections or add personal payment, indemnity or arbitration duties for an invited learner.

The [Acceptable Use Policy](https://ilmiya.com/acceptable-usage-policy/) sets the conduct rules. Our [Global Privacy Policy](https://ilmiya.com/privacy-policy/) and [Cookie Notice](https://ilmiya.com/cookie-notice/) explain data practices. Reading a notice does not give blanket consent to every form of data use. Optional features may require a separate choice or agreement.

<a id="3-accounts-and-permissions"></a>

<a id="general-account-terms"></a>

## General Account Terms

Give accurate registration information, keep it current and protect your sign-in credentials. Use only accounts and data you are authorized to access. You may have more than one authorized role or account where the service supports it. Automated provisioning and API access require an approved interface; an authorized integration is not prohibited merely because it operates automatically.

Your institution or account administrator determines the access and features available within its workspace. Subject to the applicable permissions, agreement and law, authorized staff may access school content and records. Do not assume that a message or AI conversation in an institutional workspace is private from all administrators. The relevant feature and privacy information should explain who can see it.

Tell [support@ilmiya.com](mailto:support@ilmiya.com) and your administrator promptly if you suspect unauthorized access. You remain responsible for your own conduct; these terms do not make you responsible for a security failure we cause.

Each account is assigned to its authorized user. Do not share an individual sign-in or use another person’s identity. An administrator may provision accounts through an authorized interface, and a user may hold more than one authorized role. Those permissions do not permit duplicate accounts created to evade a restriction.

<a id="communications"></a>

## Communications

We may send account, security and service messages needed to operate the service. Marketing messages follow the choices you make and applicable law. Creating an account does not automatically subscribe a child or institutional learner to marketing. Adult recipients can use the unsubscribe link or contact support to stop marketing without losing essential service notices.

<a id="purchases"></a>

## Purchases

<a id="9-paid-plans-and-communications"></a>

Only a person with legal capacity to contract and authority to bind the Customer may place an Order. Pricing, the billing interval, subscription term, cancellation procedure, and any automatic renewal must be disclosed before acceptance. The accepted Order and governing Customer agreement determine payment and refund obligations. These end-user Terms do not impose a separate charge on an institutional user.

The person placing an Order must have the right to use the selected payment method and provide accurate billing information. Payment details must be supplied through the authorized payment process. Payment providers handle that information under the applicable payment terms and privacy information; sending billing information does not authorize unrelated use of student records.

Before accepting an Order, Ilmiya may decline it where the requested product is unavailable, a description or price contains an error, or the transaction appears fraudulent, unauthorized or unlawful. Once an Order is accepted, its correction, suspension, cancellation and refund provisions govern. This section does not create a right to disregard an accepted price or an existing contractual remedy.

<a id="promotions"></a>

## Promotions

If Ilmiya offers a promotion, its published rules will describe eligibility, duration and any conditions specific to that offer. Those rules govern the promotion within their stated scope. Participation does not amend an existing subscription or authorize a new use of student information. Any required acceptance, permission and privacy notice must be provided before participation.

<a id="subscriptions"></a>

## Subscriptions

The Order identifies the subscription term, billing cycle and purchased scope. A billing cycle may differ from the committed subscription term. Automatic renewal applies only where it was disclosed and expressly accepted under the governing Customer agreement. The Customer must use the stated non-renewal or cancellation process; an individual learner cannot cancel an institution’s subscription.

Where recurring payment is expressly authorized, charges are limited to the amounts and payment schedule accepted by the Customer. The Customer must keep the authorized payment and billing details current. A failed payment remains subject to the invoice, notice and suspension provisions of the Customer agreement.

<a id="free-trial"></a>

## Free Trial

A trial converts to a paid plan only under the billing and renewal conditions expressly accepted at signup, subject to mandatory cancellation and refund rights. Stopping use does not necessarily cancel an accepted subscription; use the cancellation method in the Order or contact support for help.

If a trial is offered, its signup terms must identify its duration, available features and any payment that will follow. A trial does not commit Ilmiya to a future feature or continued free access. Privacy and security obligations continue during a trial, and a trial must not be used to bypass the student authorization process.

<a id="fee-changes"></a>

## Fee Changes

Price changes follow the accepted Order and Customer agreement. Under the standard MSA, prices remain unchanged during the current term unless both parties agree, and Ilmiya gives at least 60 days’ notice of a price increase for the next term. The Customer may give notice of non-renewal through the applicable process. An updated price on a website does not amend an existing Order.

<a id="refunds-and-cancellation"></a>

## Refunds and Cancellation

Committed subscription fees are non-cancellable and non-refundable except where the Customer agreement, an applicable offer or mandatory law provides a right to cancel or receive a refund. The MSA preserves its stated remedies for uncured material breach, affected service withdrawal and other agreed termination events. Contact support if the authorized Customer needs help using the cancellation process.

A learner’s tuition, absence arrangements, course cancellation and refund rights arise under the educational provider’s agreement with that learner or family. Those terms do not change the institution’s platform subscription or make Ilmiya the provider of the institution’s educational promises.

<a id="6-content-messaging-and-recordings"></a>

<a id="content"></a>

## Content

You keep the rights you hold in your content. You must have permission or another lawful basis to upload and share it. This applies to coursework and files as well as chat messages, voice recordings, transcripts and images of other people.

We process content under the customer’s agreement and lawful instructions, subject to the authorization and consent requirements described above. If you are an invited learner, using the service does not itself authorize any new use of data. If you are an adult authorized to act as the customer or on its behalf, you may authorize processing within the valid scope of the customer’s Order and applicable law. Personal-data processing remains limited by the DPA and Privacy Policy. A message sent to another person may remain in their records or in an institution’s authorized records after you remove your own copy. Deletion rights and retention depend on the applicable law and the purpose of the record.

Before recording someone or sharing their image or voice, make sure the required notices and permissions are in place. Microphone permission on your device is not permission from everyone whose voice it captures. Do not secretly record a class or another participant, impersonate someone, or create a misleading recording in their voice.

Use the recipient and sharing controls carefully. Other users may copy content they receive. Report an unintended disclosure promptly rather than assuming that deleting a message removes every copy.

<a id="8-safe-and-lawful-use"></a>

<a id="prohibited-uses"></a>

## Prohibited Uses

Follow the [Acceptable Use Policy](https://ilmiya.com/acceptable-usage-policy/). You must not harass or exploit someone, access another user’s records without authority, distribute malware, evade security controls or use the service for fraud. Necessary educational discussion of difficult topics is assessed in its context.

Our service does not provide emergency dispatch or continuously monitored safeguarding. If there is an immediate danger, contact the appropriate local emergency service or responsible adult. For a service-related concern, report it to your institution or [support@ilmiya.com](mailto:support@ilmiya.com) with enough information to locate the problem, while avoiding unnecessary personal data.

These terms apply to use of Ilmiya worldwide. Each party must meet the laws applicable to its activities. Authorized users may use the features covered by the Customer’s agreement and account permissions without a separate country approval from Ilmiya, subject to mandatory law. Each party must comply with applicable sanctions and export controls.

The [DPA](https://ilmiya.com/data-protection-addendum/) governs international transfers and the safeguards required for the applicable processing.

<a id="analytics"></a>

## Analytics

The Privacy Policy and Cookie Notice describe the analytics used for the relevant service and any choices available. Analytics remain subject to the applicable notice, consent requirements and Customer agreement. Accepting these Terms does not override those choices or authorize advertising based on student information.

<a id="age-requirements-and-accounts"></a>

## Age Requirements and Accounts

Student accounts are provided through an approved Customer arrangement. Before enabling access, the Customer must establish lawful school authorization or obtain and document the parental or other permission required for the selected use. A minor does not incur subscription fees or independently accept commercial obligations by using a student account. The [Children’s and Students’ Privacy Notice](https://ilmiya.com/privacy-disclosure/) and [School and Institution Consent](https://ilmiya.com/parental-consent/) describe the applicable notices and consent process. Students who are legally entitled to act independently retain that authority.

The age of 13 is not a universal age of contractual capacity or data-protection consent. The applicable law, the learner’s capacity and the authorized educational arrangement determine which permissions are required. An account must not misstate a learner’s age to avoid those requirements.

<a id="4-additional-terms-for-institutions-and-educators"></a>

<a id="additional-terms-for-institutions-and-educators"></a>

## Additional Terms for Institutions and Educators

The Customer selects and delivers the curriculum and content used in its educational offering, including materials supplied by Ilmiya. It is responsible for any adaptations it makes within the applicable license, instructional decisions, assessment and grading, admissions, and qualifications or credentials it awards. It must hold the permissions or accreditation required for that offering and accurately describe them. Its agreements, fees, refund duties, learner-facing service levels and representations to learners or families remain its responsibility. Hosting a course, supplying curriculum or producing a certificate through Ilmiya does not itself establish accreditation or transfer the Customer’s responsibility for educational delivery to Ilmiya. Ilmiya remains responsible for its own contractual and statutory duties, including the commitments and licenses that apply to materials it supplies.

The Customer must designate authorized administrators and maintain accurate records of the students and staff permitted to use its workspace. School personnel must follow their institution’s procurement, privacy, and safeguarding requirements before enrolling students or enabling additional features. An individual educator may bind an institution only to the extent that institution has authorized the educator to do so.

Ilmiya provides the relevant [direct notice](https://ilmiya.com/parental-consent/#direct-notice-before-student-access). The Customer must deliver that notice to the required recipient, obtain the permissions applicable to the selected activities, and retain evidence. Where school authorization is lawful under COPPA, the authorized school representative may approve the disclosed educational use. A tutoring center or independent educator cannot assume that authority solely because it provides education. Where verifiable parental consent is required, the Customer must collect consent through the process agreed with Ilmiya and provide the evidence necessary to verify it. Ilmiya retains its statutory operator obligations.

The Customer must review account permissions, verify the authority of any family contact before granting access to a student’s records, and protect login credentials and invitation codes. It must not disclose another learner’s records through a family account. Access must be removed when the user’s role or authority ends. The Customer is responsible for appropriate supervision, its educational decisions, and the content or recipient settings it selects.

Voice and AI features are optional. The Customer must provide the applicable feature notice and arrange any required permission before enabling them. Learners may decline those features while retaining the core learning service. An authorization for an account does not permit recording other classroom participants, public disclosure of student work, biometric identification, or model training.

Where FERPA applies, the Customer determines whether the school official exception or another lawful basis permits disclosure. Ilmiya’s use and maintenance of education records remain subject to the Customer’s direct control as provided in the [DPA](https://ilmiya.com/data-protection-addendum/). The Customer must provide its required annual notices and respect access and other rights of parents and eligible students. Private educational businesses must meet the privacy laws that apply to them even when FERPA does not apply.

The Customer must promptly notify Ilmiya of a withdrawal, disputed authorization, or inappropriate disclosure affecting the service and cooperate in addressing it. These responsibilities do not transfer Ilmiya’s own legal obligations to the Customer or to individual staff members.

<a id="5-additional-terms-for-parents-and-guardians"></a>

<a id="additional-terms-for-parents-and-guardians"></a>

## Additional Terms for Parents and Guardians

A parent or legal guardian may access only the account and records they are authorized to receive. Ilmiya or the Customer may require proportionate evidence of identity, parental responsibility, or other authority before granting access or responding to a request. Account access does not determine custody rights or override a court order or a student’s independent rights.

Parents may review the applicable notices, request access or correction, seek deletion, or withdraw consent as applicable law permits through the Customer or [legal@ilmiya.com](mailto:legal@ilmiya.com). Withdrawal stops the affected future collection or use. A feature requiring that processing may become unavailable; the Customer remains responsible for educational alternatives. A parent’s participation in a school-provided service does not make the parent personally liable for the Customer’s subscription charges.

<a id="7-ai-features"></a>

<a id="ai-features"></a>

## AI Features

AI can help create materials, explain a subject or draft a response. It can also invent facts, miss context or produce biased or unsuitable content. Check output before relying on it, and follow your institution’s rules for permitted AI use and attribution.

If you use AI to help make a decision with significant effects on a learner, you must have an educator or another authorized person review it. You must not treat the system as the sole decision-maker for grading, admissions, discipline or safeguarding. AI responses are not emergency, medical or legal services.

We do not currently use customer content to train our models, and we do not permit third-party providers to train on that content. If we later offer customer-specific model adaptation, including fine-tuning or LoRA, we will require separate written terms, an authorized choice and any legally required notices or permissions before that processing starts. These terms do not authorize it in advance. See the [Responsible AI Statement](https://ilmiya.com/responsible-ai-statement/) and DPA for the scope and safeguards.

Rights in output generated within a customer account follow the customer’s agreement, including any applicable payment condition. An output does not transfer ownership of the underlying model, software or pre-existing materials. Output may resemble another person’s output and may not qualify for copyright. You must check it and obtain any third-party rights needed for your use. We do not promise an educational outcome or that output is accurate, unique or free of infringement.

<a id="10-ilmiyas-technology-and-feedback"></a>

<a id="intellectual-property"></a>

## Intellectual Property

We and our licensors retain our respective rights in the application, website design, software, curriculum and other materials we provide, subject to any applicable content license. The standard license in section 8 of the [MSA](https://ilmiya.com/master-service-agreement/) permits Customer use and adaptation of included curriculum, including sharing with authorized staff and enrolled learners in its own branded educational offering within the purchased scope. It requires no separate permission for each course. Your institution may authorize your use within that license. Customer content and original contributions remain with their rights holders. Standalone resale or distribution of Ilmiya materials outside the licensed offering requires separate written permission, and separately identified third-party license terms remain applicable. Use does not transfer ownership of the underlying materials or technology. Use of our name and logos follows the [Brand Guidelines](https://ilmiya.com/brand-guidelines/).

<a id="11-copyright-concerns"></a>

<a id="copyright-policy"></a>

## Copyright Policy

If you believe content infringes your copyright, use the [legal inquiry form](https://ilmiya.com/legal-inquiry/) and identify it as a copyright concern, or email [legal@ilmiya.com](mailto:legal@ilmiya.com) with the subject “Copyright concern.” Identify the work, the material and its precise location, how we can contact you, and the authority under which you act. Include a signed statement that you believe in good faith the use is unauthorized and that your information is accurate. Do not submit a claim you know is false.

We will assess the report, request further information if needed, and take appropriate action under applicable law. A user whose content is restricted may contact us to contest a mistake. We may restrict accounts for repeated infringement in appropriate circumstances.

<a id="copyright-notices"></a>

## Copyright Notices

<a id="dmca-notices"></a>

A copyright report should contain the information needed to assess the claim:

- A physical or electronic signature of the rights holder or authorized representative.
- Identification of the protected work, or a representative list where appropriate.
- The precise location of the material or link complained of.
- The reporter’s name and contact details.
- A good-faith statement that the use is not authorized by the rights holder, its agent or the law.
- Confirmation that the report is accurate and, under penalty of perjury where a statutory notice requires it, that the reporter is authorized to act.

A person contesting a removal should identify the removed material and explain the mistake, license or other lawful basis for its use. Ilmiya will address notices and disputes under applicable law. Knowingly making a material misrepresentation in a statutory copyright notice or counter-notice can create liability.

<a id="error-reporting-and-feedback"></a>

## Error Reporting and Feedback

If you are an adult with authority to share a product suggestion, you can choose to send it to us. To the extent you hold the necessary rights, you give us permission to use, change and incorporate that suggestion into our products and business, and to sublicense those rights, worldwide and without payment for as long as the rights exist. This permission does not extend to personal data, confidential information, coursework or other customer content included in a support request. Invited learners do not grant additional content or training rights by reporting an error.

Product errors may be reported to [support@ilmiya.com](mailto:support@ilmiya.com), with steps to reproduce the problem and only the information necessary to investigate. Do not include passwords or unnecessary student records. Receiving a suggestion does not create an obligation to implement it, compensate the sender or disclose Ilmiya’s development plans.

<a id="12-external-services"></a>

<a id="links-to-other-websites"></a>

## Links to Other Websites

An external link or an integration can take you to another provider’s service. Review that provider’s terms and privacy information before sharing data. The [Third-Party and Integrations Policy](https://ilmiya.com/third-party-integrations-policy/) explains the difference between Ilmiya’s contracted service providers and services a customer connects independently. We remain responsible for our own contractual duties and cannot avoid them by calling a provider a third party.

<a id="14-warranties-and-responsibility"></a>

<a id="disclaimer-of-warranty"></a>

## Disclaimer of Warranty

Ilmiya’s express commitments and remedies under the Customer agreement remain in force, including any that apply to supplied curriculum and learning materials. Ilmiya does not guarantee a particular learning or examination result, admission, credential recognition, accreditation or employment. An institution’s educational promises or service levels do not become Ilmiya obligations. Any negotiated Ilmiya platform service level applies only under a separate agreement signed by the relevant parties. Learners and families retain their rights against the educational provider and any rights applicable law gives them against Ilmiya.

For public website access and services provided without a separate warranty, Ilmiya provides the service as available and disclaims implied warranties to the extent the law permits, including merchantability, fitness for a particular purpose and non-infringement. We cannot promise that every page or AI response will be accurate, uninterrupted or error-free. General educational information, a support conversation or a roadmap does not create an additional warranty or a guarantee of future functionality. You are responsible for checking information before relying on it for a consequential purpose.

<a id="limitation-of-liability"></a>

## Limitation of Liability

For an adult who validly accepts these terms, and only to the extent the law permits, Ilmiya is not liable under these terms for indirect, punitive, special, incidental or consequential loss, or for lost profits, revenue, opportunity or goodwill whether direct or indirect. Its total aggregate liability under these terms is limited to the greater of US$100 or the amount that adult personally paid Ilmiya for the affected service in the preceding 12 months. A claim governed by a customer’s MSA follows that agreement’s limits instead; these terms do not add another recovery or a separate cap to it.

These limits do not apply to fraud, willful misconduct, death or personal injury caused by negligence, or a responsibility the law does not permit us to exclude. They do not restrict a non-waivable data-protection or consumer right, or purport to bind a child through that child’s use of an institutional account. No additional personal indemnity is imposed on a student or invited end user. These terms do not bind a regulator, restrict your right to make a regulatory complaint, or limit a statutory data-protection remedy that the law does not allow you to waive.

<a id="13-service-changes-suspension-and-closure"></a>

<a id="termination"></a>

## Termination

We may update features, subject to our commitments to the customer, and may change or end free or preview features. We may restrict access when we reasonably believe this is needed to address unlawful use, a material conduct violation, compromised credentials or a security risk. Where safe and lawful, we will explain the reason, give a chance to correct it and allow the user or administrator to request review. Immediate action may be necessary where delay increases the risk. An institution may also manage or close accounts under its own authority.

Changes to an ordered service, refunds, export and deletion follow the customer agreement and DPA. The fact that a feature is experimental does not remove applicable privacy obligations. Contact your institution about school records. If you need help finding the right person to contact, please ask us.

<a id="15-disputes-and-changes-to-terms"></a>

<a id="governing-law-and-dispute-resolution"></a>

## Governing Law and Dispute Resolution

Disputes under a customer’s subscription follow the customer’s agreement. For an adult’s claim under validly accepted terms that is not governed by that agreement, Delaware law applies subject to mandatory local protections. The parties should first contact each other and try to resolve the dispute within 30 days, without preventing urgent relief or a filing needed to preserve a legal right. That adult and Ilmiya agree to courts with jurisdiction in Delaware for an unresolved claim, except an eligible individual small-claims case or where mandatory law permits a different court. This forum provision does not bind a child through use of an institutional account. These end-user terms do not require a learner or parent to arbitrate merely because they use a school account. They do not restrict a non-waivable right to bring a claim in another competent court or to obtain representation allowed by data-protection law.

<a id="changes-to-the-service"></a>

## Changes to the Service

Ilmiya may maintain and update the Services within the change rights in the Customer agreement. Changes to paid core functionality, withdrawal of a contracted feature and any associated remedy follow that agreement. Changes to free or preview features remain subject to applicable privacy and security obligations. A public roadmap does not add a contractual delivery date or future feature.

<a id="amendments-to-these-terms"></a>

## Amendments to These Terms

An existing customer’s contract can change only as that contract permits. For separately accepted user terms, we will give advance notice of a material change and request a new agreement where required. We do not change an accrued claim or add arbitration through an unnoticed website edit. If a change requires acceptance and you decline, we will explain the account options and any applicable export or cancellation rights under the customer’s agreement.

<a id="waiver-and-severability"></a>

## Waiver and Severability

If a provision cannot be enforced, the remaining provisions apply to the extent legally possible. A decision not to enforce a term on one occasion does not waive it for the future. Rights and duties that need to continue, including ownership and responsibilities for earlier conduct, survive the end of access.

<a id="acknowledgement"></a>

## Acknowledgement

Where acceptance of these Terms is required, the agreement screen or signed document must make that acceptance clear. A person accepting must have the capacity and authority described above. Use of a student account does not substitute for an institution’s commercial acceptance or a required school authorization or parental-consent process.
